Terms and Conditions

I. Qualification

To qualify as a SukiAdvantage member, you must meet the following criteria:

  • Be a current resident of the United States
  • Must be at least 18 years of age upon date of application
  • Have an approved SukiAdvantage application

II. Membership Application

All SukiAdvantage membership applications can be completed via the SukiAdvantage app:

Step 2: After completing the application, users can now shop at partner merchants in-store to start earning and using points

Note: Please make sure your personal details are complete, accurate, and updated. We are not liable for any issues caused by incomplete, incorrect, and outdated user information.

III. Membership Validity

SukiAdvantage memberships are valid for as long as the SukiAdvantage app and company remains in operation.

IV. SukiAdvantage Use and Restrictions

SukiAdvantage can be used to earn and redeem points at Seafood City Supermarket and with other partner merchants.

Disclaimers:

  • SukiAdvantage is not a financial institution or credit card.
  • SukiAdvantage is non-transferable and only valid if presented during a transaction.
  • Certain purchases or activities may not be eligible for earning SukiAdvantage points.
  • SukiAdvantage cannot be used in conjunction with other rewards cards and programs.
  • SukiAdvantage remains the property of Talino Venture Studios.
  • SukiAdvantage is valid only in the locations where Seafood City Supermarket operates.

V. Earning, Redemption, and Expiry of SukiAdvantage Points

Earning, redemption, and expiry of SukiAdvantage points may vary with each partner merchant.

Disclaimers:

  • Points cannot be exchanged for real cash, but members with valid SukiAdvantage accounts can convert their points into virtual cash that can be used to pay for goods and services at participating merchants.
  • Transaction receipts may be required for points verification.
  • Seafood City Supermarket and other partner merchants reserve the right to adjust earned or accrued points when necessary.
  • Points redeemed cannot be restored.
  • Redeemed points cannot be exchanged for other rewards or privileges.
  • Redeemed points cannot be refunded or converted to cash or credit under any circumstances.
  • SukiAdvantage and other partner merchants are not responsible for the unavailability of any rewards or privileges.
  • Redeemed points are subject to the return and exchange policy of the respective partner merchant.
  • SukiAdvantage will not be liable for fraud, misuse, or misconduct involving the earning and redemption of SukiAdvantage points.
  • Unused earned points will expire within twenty-four (24) months from the date of earning. 

VI. Cancellation of Membership

A SukiAdvantage membership will automatically be canceled and all rewards and privileges will be forfeited in the event of a member's death, legal incapacity, or violation of the terms and other guidelines issued by SukiAdvantage.

VIII. Intellectual Property

All information, materials, and content available on the SukiAdvantage app, including trademarks, logos, service marks, and other content, are owned by SukiAdvantage and protected by applicable laws.

Except as required under applicable law, none of the content or any portion of the SukiAdvantage app may be used, reproduced, republished, uploaded, posted, transmitted, duplicated, or otherwise exploited without Talino Venture Studios’ express written consent.

IX. Limitation of Liability

SukiAdvantage disclaims all liability and shall not be responsible for any damages or losses arising from the use of SukiAdvantage, including but not limited to:

  • SukiAdvantage not being honored or being declined
  • Delays or interruptions in point crediting
  • Unauthorized use of SukiAdvantage
  • Unauthorized disclosure or breach of security or confidentiality of account information
  • Computer-related errors, system failures, or malfunctions

X. Indemnity

SukiAdvantage members agree to indemnify and hold SukiAdvantage and its affiliates, directors, officers, shareholders, and agents free and harmless from any claims, demands, suits, proceedings, damages, costs, and expenses, including attorney's fees, arising from or related to the use of SukiAdvantage.

XI. Force Majeure

SukiAdvantage shall not be liable for any breach of the terms when hindered or prevented from carrying out its obligations by any cause outside its reasonable control.

XII. Governing Law

These terms shall be governed by and construed in accordance with the laws of the United States.

XIII. Transfer/Assignment

SukiAdvantage has the right to assign or transfer its rights and obligations arising from SukiAdvantage without prior notice to or consent of the SukiAdvantage members.

XIV. Revisions to the Terms and Conditions

SukiAdvantage reserves the right to make changes to these Terms and Conditions, withdraw or alter rewards and privileges, and terminate or modify the SukiAdvantage program. Any questions or disputes related to SukiAdvantage will be subject to the final decision of Talino Venture Studios.

Your agreement with us includes these Terms and our Privacy Policy (“Agreements”). You acknowledge that you have read and understood Agreements, and agree to be bound by them.

Welcome to SukiAdvantage, INC. (“Company”, “we”, “our”, “us”, “SukiAdvantage")! Thank you for clicking our Terms and Conditions. 

These Terms and Conditions (“Terms”, “Terms and Conditions”) govern your use of the SukiAdvantage website (“website”) or the SukiAdvantage mobile application (“Service”, “Platform”) located at sukiadvantage.com operated by SukiAdvantage, INC. 

Our Privacy Policy also governs your use of our Service and explains how we collect, safeguard, and disclose information that results from your use of our website. Please click on the link above to read that document. 

Your agreement with us includes these Terms and our Privacy Policy (“Agreements”). You acknowledge that you have read and understood Agreements, and agree to be bound by them. 

If you do not agree with (or cannot comply with) these Agreements, then you may not use the Service, but please let us know by reaching out to us via email at admin@sukiadvantage.com so we can try to find a solution. These Terms apply to all visitors, users, and others who wish to access or use our Service.

Services Offered

SukiAdvantage, INC., will be made through BAYANI PAY, INC., a portfolio company of Talino Venture Studios.‍

SukiAdvantage, INC. is authorized to provide the following services (“Services”) to its customers and registered users (“Users”) of the website or Platform:

  1. Facilitation of earning and using of reward points from merchants (“Merchants”) in the United States to receivers (“Users”).
  2. Provide technology to enable points facilitation, report generation, notification sending (SMS and Email), and mobile transactions.
  3. Provide technology and services for marketing and remarketing ads to the Data Subject, who is the subject of Personal Data.

Eligibility of Users

Only registered users are allowed to transact with the Company. As part of the onboarding and registration process, you represent and warrant that:

  1. You are an individual of legal age (at least 18 years old).
  2. You have full authority to enter into this Agreement.
  3. You will not be violating any laws or regulations by registering with us, entering into or performing any part of this Agreement, or by otherwise using the Service.
  4. You are not an agent or a representative acting for an undisclosed principal or their party beneficiary.
  5. All information provided by you as part of your registration and use of the Service is accurate and complete, and you undertake to promptly notify us of any changes to such information either through profile update feature, call, or email.
  6. All information provided by you as part of your registration and use of the Service is accurate and complete, and you undertake to promptly notify us of any changes to such information.

Availment of Service

If you wish to avail yourself of any product or service made available through the Platform, including the facilitation of reward points (“Reward Points”), you may be asked to supply certain information relevant to your transaction including, without limitation, your account details.

We may employ the use of third-party services for the purpose of facilitating transactions and the completion of the Service. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.

We reserve the right to refuse or cancel your specific transaction at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order, or other reasons.

We reserve the right to refuse or cancel your transaction if fraud or an unauthorized or illegal transaction is suspected.

Business Day

For purposes of this Agreement, one “Business Day” means any day, other than a Saturday, Sunday, federal or state holiday in California, New Jersey, Hawaii, Alaska, and the U.S. Virgin Islands, on which banks’ offices are open for business.

Accounts

All users who are eligible to register for our Service, as defined in the Eligibility of Users section above, may open a SukiAdvantage account to access our Platform.

You are responsible for maintaining the confidentiality of your SukiAdvantage account and password, including but not limited to the restriction of access to your computer, mobile devices, and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You may not use the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization.

We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion.

Multiple Registrations

Multiple registrations are prohibited. You may register for a SukiAdvantage account only once, and each user must maintain a separate registration. If we detect multiple active registrations for a single user, we reserve the right to merge or terminate the registrations and refuse you all continued use of the Service without notice to you.

Transaction History

You can access the details of all your Transactions and other information relating to your use of the Service by logging into the mobile application and viewing the “Recent Transactions” section on the home page.

Refused Transactions

We reserve the right in our sole discretion to refuse any Transaction. Reasons for refusal may include but are not limited to an inability to match your registration information with your bank account details, incorrect Recipient details, or an insufficient deposit amount. We generally will attempt to notify you of any refusal, using the contact information provided as part of your registration, stating (where possible) the reasons for the refusal and whether the problem can be corrected. We will not notify you of a refusal where to do so would be unlawful.

Service Providers

We use agents and service providers to help us deliver the Service to you. For example, SukiAdvantage manages the Service on our behalf as our service provider. Among other functions, SukiAdvantage provides customer service and other functions and arranges delivery of points to recipients.

Regardless, all services provided by SukiAdvantage or other agents or service providers are performed at our direction and subject to our supervision and control.

Error Resolution and Cancellation

If you have any concern or dispute about the Service, you agree to first try to resolve the dispute informally by contacting the Company.

Contests and Promotions

Any contests or other promotions (collectively, “Promotions”) made available through Service may be governed by rules that are separate from these Terms and Conditions. If you participate in any Promotions, please review the applicable rules that will be published in our website and our social media channels, as well as our Privacy Policy. If the rules for a Promotion conflict with these Terms and Conditions, Promotion rules will apply.

Content

Content found on or through this Service is the property of SukiAdvantage, INC. or used with permission. You may not distribute, modify, transmit, reuse, download, repost, copy, or use said Content, whether in whole or in part, for commercial purposes or for personal gain, without express advance written permission from us.

Communications

By creating an Account on our Service, you agree to subscribe to newsletters, marketing or promotional materials, and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link in these communications or by sending us an email at admin@sukiadvantage.com.

Consent for Electronic Disclosures

The Service is an electronic commerce relationship. In order for the Service to be provided to you, we must have your consent to provide access to required disclosures in electronic format. If you do not consent to electronic disclosure of these documents, then you may not use the Service. Your consent applies to all of the documents we provide to you electronically in connection with the Service, including receipts and notices.

Access to electronic disclosures will be provided by way of the Internet. Your history of use of the Service is available for viewing online from your account on the Service Website. In order to view these disclosures, you will need a hardware device that can access the Internet via modem or other form of connection. Your hardware device must run on an appropriate operating system. You must be able to access the Internet to access our mobile application.

If you require a printed copy of your full printed copy of your transaction history, you can request this by emailing us through our Help Center.

We recommend you download or print a copy of this Agreement for your records. 

If you consent to electronic access to documents, we are not required to provide you with paper copies. You may obtain these documents in paper form without charge by printing them yourself. If you decide to withdraw your consent for electronic disclosures, you must notify SukiAdvantage, INC. through our Help Center or via telephone at 1-888-599-7280. Such notice will constitute notice of termination of your registration with us and preclude future use of the Service.

Prohibited Uses and Restrictions

You may use our Service only for lawful purposes and in accordance with Terms. You agree not to use our Service:

  1. In any way that violates any applicable national or international law or regulation
  2. To impersonate or attempt to impersonate Company, a Company employee, another user, or any other person or entity
  3. In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity
  4. To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of our Service, or which, as determined by us, may harm or offend Company or users of the Service or expose them to liability
  5. For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise

Additionally, you agree to NOT use the Service for the following purposes:

  1. Use the Service in any manner that could disable, overburden, damage, or impair the Service or interfere with any other party’s use of the Service, including their ability to engage in real-time activities through the Service
  2. Use the Service to violate this Agreement or applicable laws, rules, or regulations 
  3. Use the Service to send money to a recipient that violates this agreement, applicable laws, rules, or regulations
  4. Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service
  5. Use any device, software, or routine that interferes with the proper working of the Service
  6. Introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful
  7. Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service
  8. Attack the Service via a denial-of-service attack or a distributed denial-of-service attack
  9. Take any action that may damage or falsify the Company’s rating
  10. Attempt to interfere with the proper working of the Service

Analytics

We may use third-party Service Providers to monitor and analyze the use of our Service.

Google Analytics

Google Analytics is a web analytics platform from Google LLC that tracks visits, bounce rates, and other metrics to measure website traffic. Data collected by Google through Google Analytics is used to monitor the Platform and is shared with other Google services for its own purposes, such as to provide personalized ads. Mixpanel

Mixpanel is a web and mobile-based analytics service provided by Mixpanel Inc. Mixpanel collects and analyzes website traffic data to measure how the Service is used and how to improve the Platform’s user retention. You can find out more about which types of data Mixpanel collects in its Terms of Use. In addition, Mixpanel also has policies in place for users that enable “Do Not Track” settings, which you can read about on this page.

Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of SukiAdvantage, INC. and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of SukiAdvantage, INC.

Copyright Policy

We respect the intellectual property rights of others. It is our policy to respond to any claim that Content posted on Service infringes on the copyright or other intellectual property rights (“Infringement”) of any person or entity.

If you are a copyright owner, or authorized on behalf of one, and you believe that the copyrighted work has been copied in a way that constitutes copyright infringement, please submit your claim via email to admin@sukiadvantage.com, with the subject line: “Copyright Infringement” and include in your claim a detailed description of the alleged Infringement as detailed below, under “DMCA Notice and Procedure for Copyright Infringement Claims.”

You may be held accountable for damages (including costs and attorneys' fees) for misrepresentation or bad-faith claims on the infringement of any Content found on and/or through Service on your copyright.

DMCA Notice and Procedure for Copyright Infringement Claims

You may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA) by providing our Copyright Agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):

  • An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright's interest;
  • A description of the copyrighted work that you claim has been infringed, including the URL (i.e., web page address) of the location where the copyrighted work exists or a copy of the copyrighted work;

Error Reporting and Feedback

You may provide us directly at admin@sukiadvantage.com with information and feedback concerning errors, suggestions for improvements, ideas, problems, complaints, and other matters related to our Service (“Feedback”). You acknowledge and agree that: (i) you shall not retain, acquire, or assert any intellectual property right or other rights, title, or interest in or to the Feedback; (ii) Company may have development ideas similar to the Feedback; (iii) Feedback does not contain confidential information or proprietary information from you or any third party; and (iv) Company is not under any obligation of confidentiality with respect to the Feedback. In the event the transfer of the ownership to the Feedback is not possible due to applicable mandatory laws, you grant Company and its affiliates an exclusive, transferable, irrevocable, free-of-charge, sub-licensable, unlimited, and perpetual right to use (including copy, modify, create derivative works, publish, distribute, and commercialize) Feedback in any manner and for any purpose.

You acknowledge and agree that SukiAdvantage, inc. shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.
